A company amendment in Iraq can affect much more than the registration certificate. A change of name, management, capital, ownership or business activity may also affect bank mandates, licences, tax records and contractual commitments. The safest starting point is a written change plan showing the current position, the proposed position and every document that must follow.
Identify the legal route before signing
Separate a straightforward amendment from a wider restructuring. A share transfer, asset transfer, merger or movement of business between group entities can have different consequences. Review the company’s constitutional documents, approval requirements, sector restrictions and any contractual consent rights before fixing a completion date. The Companies Law and its amendments form part of this analysis.
For a foreign branch, changes to the overseas parent and changes to the Iraqi branch should be coordinated. Check which parent documents, manager authorities and Registrar notifications need updating under the branch framework.
Build the completion checklist
Prepare the relevant shareholder or management resolutions, amended documents, evidence of signing authority and supporting registrations. Foreign-origin documents may require authentication and translation. Keep a record of which documents have been signed, submitted, accepted or returned for correction.
The commercial checklist should run alongside the filing checklist. Review financing agreements, major customer contracts, leases, insurance and supplier arrangements for change-of-control or assignment provisions. Decide whether employees, intellectual property or ongoing claims remain with the existing entity or move under a separate transaction.
Close the gaps after approval
An approved amendment is a milestone, not the end of the project. Update bank signatories, invoices, procurement registrations and internal delegations where the change affects them. For a new activity, establish whether an additional sector approval is required before operations begin.
Corporate restructuring in Baghdad should also include a tax and accounting review. The intended legal sequence, asset values and effective dates need to match the way the transaction will be recorded.
To discuss company amendment in Baghdad or elsewhere in Iraq, provide Etihad Law with the latest registration documents, the proposed change and the intended deadline. A coordinated review can identify missing consents and reduce avoidable rework.
