Local company or foreign branch?
A locally incorporated company is a separate legal entity. A foreign branch is the registered Iraqi presence of an overseas company. Compare liability, ownership eligibility, the proposed contracts and future financing before selecting either route. Foreign ownership must be checked against the current company rules and the intended sector; there is no safe universal ownership assumption.
For foreign company registration in Iraq, the amended federal branch regulation distinguishes registration from permission to operate. The proposed activity and operating route must therefore be examined alongside the application. The Kurdistan Region has a separate registration process.
Prepare a consistent registration file
Create one approved record of the proposed name, activities, ownership, management, registered address and signing powers. For an overseas shareholder or parent, identify which corporate documents need authentication and Arabic translation before documents are signed abroad. Names and registration numbers should match across resolutions, powers of attorney and application forms.
Budget separately for government charges, professional work, translation, authentication and post-registration compliance. A useful timetable should identify dependencies instead of promising a fixed completion date before the documents have been reviewed.
Plan what happens after incorporation
Company formation in Iraq also involves practical readiness. Banking, tax registration, accounting, staff arrangements and any activity-specific approvals should have named owners and target dates. Keep a central register of the final certificates and the obligations that continue after issuance.
For company registration in Baghdad, review the federal filing route and the location of the actual business activity. An office address alone does not resolve all licensing or project requirements.
Before proceeding, send the proposed activity, shareholder structure, project location and any draft client contract to Etihad Law. These details allow a focused discussion of the appropriate structure and the documents needed for company incorporation in Iraq.
