Post acquisition integration in Iraq does not reset a subsidiary’s legal position. The same principle applies to a management handover following an internal reorganisation. The company ordinarily continues to hold its contracts, assets and liabilities, while the incoming team must establish what it can lawfully do from the first day. A handover concerned only with files and passwords can leave significant authority and compliance issues unresolved.
In Federal Iraq, the Companies Law No. 21 of 1997, as amended, governs management appointments, company powers and corporate records. The Civil Code No. 40 of 1951 is relevant to contractual obligations and agency. Employment, tax and social security matters require separate attention under their applicable legislation, even where the change is confined to shareholders or management.
Establishing the effective management position
The incoming team should first confirm the subsidiary’s legal form, current constitution and valid appointment record. The body competent to appoint the managing director and define that person’s powers must take the required decision. An acquisition agreement or parent announcement should not be treated as completing every local corporate step.
The appointment should be coordinated with any removal, resignation or limitation affecting the outgoing manager. Powers of attorney and bank mandates require their own review. Some may continue according to their terms and legal basis, while others need to be revoked, replaced or notified to the relevant recipient.
This distinction prevents both a gap in authority and unintended overlap. Two people may otherwise continue presenting different documents as evidence that each can bind the same company.
The corporate record as a starting point
The handover should include the incorporation certificate, constitution and amendments, shareholder register, management decisions and annual corporate records. The Companies Law gives these records significance beyond their administrative use. They help establish who owns the company, which decisions have been taken and whether required reporting has occurred.
The incoming manager should distinguish originals, certified copies, drafts and documents awaiting acceptance. A folder labelled complete is not sufficient evidence that a filing has been completed. The relevant receipt, decision or certificate should accompany the submitted document.
Etihad’s corporate services in Iraq can support a handover review that identifies both the current legal position and gaps requiring corrective action.
Open commitments and contingent exposure
The company should provide a schedule of material contracts, guarantees, loans, leases and outstanding offers. Each item should identify the company’s role, the signatory, the outstanding performance and any event likely to trigger liability. An unsigned contract may still require investigation if performance has already begun or correspondence records an agreement.
Particular attention should be given to commitments that do not appear as ordinary unpaid invoices. Performance guarantees, retention obligations, indemnities and termination payments may affect the company’s exposure after the handover. The underlying documents should be reviewed rather than relying only on the outgoing team’s description.
Where the acquisition agreement allocates historic liabilities between buyer and seller, that allocation should be distinguished from the subsidiary’s obligations to third parties. An indemnity may provide recourse between transaction parties without releasing the company from the original debt or claim.
Workforce and statutory records
The Labour Law No. 37 of 2015 and the Workers’ Retirement and Social Security Law No. 18 of 2023 are relevant to the subsidiary’s federal employment compliance. A change of manager does not itself end employment contracts or extinguish accrued worker entitlements.
The handover should cover employment contracts, payroll, leave balances, disputes, work permits where applicable, and social security registrations and payments. Differences between the employee list, payroll and official records should be identified and investigated. The incoming team should not assume that a former employee’s departure was notified simply because it was recorded internally.
Operations in the Kurdistan Region require a separate assessment of the applicable employment and social security framework and administrative procedures. Federal assumptions should not be applied to those records without checking the relevant local position.
Tax and regulatory matters
The Income Tax Law No. 113 of 1982, as amended, provides the general federal income-tax framework. The handover should identify filed returns, assessments, payments, retentions and outstanding correspondence. Final accounts and a tax payment receipt may address different periods or obligations and should not be treated as interchangeable evidence.
Licences and permits should be listed with their conditions, expiry dates and reporting requirements. A management or ownership change may require notification or approval under a sector-specific regime. That question must be assessed independently of the Companies Registrar process.
Etihad’s tax services can be coordinated with the corporate review where the handover reveals gaps between the company’s records and its tax position.
Recording exceptions and completing the transition
A useful handover schedule should identify each missing document or unresolved issue, the person responsible for addressing it and the evidence required to close it. Urgent matters should include court deadlines, payroll, bank access, expiring licences and commitments that may become payable immediately.
The incoming manager should acknowledge receipt of documents accurately. An acknowledgment of receipt should not inadvertently become an unconditional confirmation that all liabilities have been disclosed or every historic act was lawful. Reservations should be specific and supported by the available evidence.
Etihad Law Firm can help turn the handover into an actionable legal record. The objective is to establish effective authority, preserve the company’s rights and give the incoming team a reliable account of the obligations it must manage.
