Legal due diligence in Baghdad helps an investor or business understand what it is buying, financing or relying on. Its value lies in connecting documents with the proposed transaction. A large collection of certificates is not enough if nobody has checked whether the target actually owns the relevant assets or can perform the intended contract.
Set the questions before opening the data room
Define the transaction structure, relevant entities, locations and completion timetable. A share acquisition requires a different focus from an asset purchase or a new joint venture. Agree whether the review covers corporate records, licences, material contracts, property, employees, intellectual property, tax interfaces and existing disputes.
The corporate workstream should reconcile the registration record with the ownership structure and signing authorities. Company rules and the applicable registration framework help establish which approvals and records should be examined.
Turn findings into decisions
For each material issue, record the supporting evidence, the missing information and its possible commercial effect. An expired licence may call for a condition before completion. An unclear asset transfer may require a different contract structure. A disputed receivable may affect price, security or a separate recovery plan.
Use a request tracker to distinguish information that has been provided from information merely promised. Where a statement depends on an authority search or third-party confirmation, identify that dependency clearly. A management assurance and an independently checked record do not serve the same purpose.
Understand what a legal opinion covers
A legal opinion in Iraq should state its addressee, purpose, reviewed documents, applicable law, assumptions and qualifications. It answers agreed legal questions; it does not automatically verify every commercial fact or guarantee future performance. The wording should match the transaction and the level of investigation actually undertaken.
Before commissioning due diligence, assemble the corporate file, principal contracts, licence list and a short description of the transaction. Include any known problem at the beginning so that the review can address it directly.
