Oil and Gas Contracts in Iraq: Procurement and Joint Venture Risks

Oil and gas contracts in Iraq should be reviewed as part of the project’s wider contractual structure. A subcontract may pass down obligations from an operator agreement, while a joint venture may divide work between partners whose risks and resources differ. Understanding these relationships is essential before agreeing price and responsibility.

Identify the contract chain

Establish who owns the project, who is authorised to contract and which documents govern the proposed scope. Petroleum development contracts and oilfield service agreements should not be treated as interchangeable. Ministry of Oil licensing-round materials provide context for the relevant project framework.

For oil and gas procurement in Iraq, determine whether the purchasing entity and transaction fall under public procurement requirements or a different contractual regime. Where public rules apply, check the current Ministry of Planning materials and the specific tender documents, including their transition provisions.

Allocate the commercial risks precisely

Define deliverables, acceptance, measurement, payment certification and the evidence required for invoicing. Review tax allocation, import responsibilities, equipment ownership, insurance and liability together. A low headline price can become uneconomic if the contract leaves major mobilisation or deduction risks undefined.

Changes should follow a workable written procedure. Identify who may instruct additional work, how rates are agreed and what happens when the parties disagree on time or cost. Project staff need to understand the notice provisions from the start.

Make a joint venture governable

An oil and gas joint venture in Baghdad should address contributions, work allocation, decision-making, signing powers and reporting. Discuss funding shortfalls, partner default, deadlock and exit before they occur. Clarify the relationship between the joint venture agreement and any commitments given jointly to the customer.

Review dispute clauses across the contract chain. Different forums or incompatible procedures can complicate recovery where one event affects the operator, contractor and subcontractor.

Contact Etihad Law with the tender, draft petroleum or service contract and proposed partner arrangements to discuss a focused contract review. The objective is to identify the obligations the business can control, the risks it must price and the approvals it needs before committing.
