Iraqi Federal Court of Cassation Confirms That a Change of Company Director Does Not Affect Corporate Litigation

The Iraqi Federal Court of Cassation has confirmed that replacing a company’s authorised manager does not terminate or invalidate proceedings properly brought against the company.

Background

A claim was brought against an Iraqi company for amounts allegedly due for commercial works. The lower court dismissed the claim because the authorised manager named in the proceedings had previously been replaced.

Court’s Findings

The Court held that the company was the true party to the proceedings. The authorised manager is the natural person through whom the company expresses its legal will.

Replacing that representative does not create a new company or extinguish existing obligations. As the company remained validly registered, the dispute should have been heard on its merits.

Practical Implications

Pleadings should name the company as the principal party and describe the manager as its representative. A change of manager should be addressed through updated records or substitution of the representative, not dismissal of the corporate claim.

Conclusion

The decision confirms the continuity of corporate personality. A company cannot avoid contractual obligations or pending litigation merely because the individual authorised to represent it has changed.
