Corporate tax in Iraq should be planned alongside the business’s contracts and operating structure. Incorporation, a foreign branch, staff deployment and local project activities can raise different questions. Before filing, the business should establish which entity earns the income, where activities occur and which tax office handles its file.
Register and identify the applicable treatment
For tax registration in Baghdad, assemble the corporate documents, authorised signatory information, address, contracts and accounting records relevant to the business. Foreign companies should assess their Iraqi activities rather than assume that an overseas invoice removes Iraqi tax obligations.
The General Commission for Taxes’ corporate declaration guide states a general corporate income tax rate of 15% and a 35% rate for activities within the scope of Law No. 19 of 2010. Classification matters: the higher rate should not be applied indiscriminately to every business with an oil-sector customer. The guide also states a filing deadline of 31 May following the financial year. Confirm the applicable period and any current instructions for the taxpayer. [1]
Build a file that explains the numbers
Reconcile revenue with contracts, invoices, collections and bank records. Maintain support for expenses, payroll, imports and any related-party transactions. Identify differences between accounting treatment and the tax position before the return is submitted.
Tax residency in Iraq requires a separate analysis of the taxpayer and relevant rules. It should not be inferred only from nationality, an office address or where a contract was signed. Where cross-border relief is being considered, check the particular legal basis and evidence rather than assume an exemption exists.
Manage compliance throughout the year
Corporate income tax in Baghdad is easier to administer when tax, finance and legal teams share the same contract information. Keep a calendar for filing, authority queries, payments and outstanding assessments. Record the basis for significant judgments so they can be explained during a later review.
