Annual financial statements in Iraq support more than the year-end accounting process. They can be relevant to corporate filings, tax, banking and business transactions. The finance team and legal advisers should agree early which entity is reporting, which period is covered and which authorities or counterparties will receive the final statements.
Align the accounts with the legal structure
Confirm the reporting entity’s registered name, financial year and activities. For a foreign group, distinguish the parent’s accounts from those of its Iraqi branch or subsidiary. Head-office reporting may use a different format or timetable from the records needed for local compliance.
The federal foreign branch regulation includes an annual accounts and activity reporting framework. Businesses operating through a branch should check these obligations separately from their tax filing process. [1] One submission should not be assumed to satisfy every authority’s requirements.
Prepare the evidence before year end
Maintain reconciled bank balances, receivables, payables, inventories and fixed-asset records. Review material contracts for unbilled work, disputed payments, retention and potential liabilities. Legal and finance teams should communicate about litigation, guarantees and significant commitments that may require accounting consideration.
Use a closing checklist showing the evidence needed, the person responsible and any unresolved issue. Give the appointed accounting or audit professionals access to consistent records. Their professional work should remain distinct from the legal review of filing obligations and corporate approvals.
Control approval and submission
Identify who must approve or sign the statements and what supporting corporate decisions are required. Keep the signed final version, audit documentation where applicable and evidence of submission in a controlled folder. Correcting a draft should not result in different authorities receiving inconsistent versions without explanation.
For annual financial statements in Baghdad, coordinate the filing calendar with tax preparation. The General Commission for Taxes’ guidance should be checked when identifying the accounting information supporting the corporate declaration.
